Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and ClaritasVentures, LLC (“ClaritasVentures,” “we,” “us”) governing your use of the CredentialVault mobile application and related services (the “App”). By creating an account or using the App, you agree to these Terms. If you do not agree, do not use the App.

CredentialVault is a personal record-keeping and reminder tool — not professional, legal, or compliance advice. The App shows you your standing based only on what you have recorded. It is not a determination of your compliance, license status, or renewal eligibility, and it never certifies that you are “compliant.” Requirements change, and the information in the App may be incomplete or out of date. You are solely responsible for verifying your obligations and completing your renewals directly with your state board(s) and certifying bodies.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the App. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. Notify us promptly of any unauthorized use.

2. Your content

You retain ownership of the information, documents, and records you add to the App (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate and provide the App to you (including extracting information from documents and generating a CV at your request). You are responsible for the accuracy of Your Content and for having the right to upload it; do not upload content that infringes others’ rights or that you are not authorized to share.

3. Acceptable use

You agree not to:

use the App for any unlawful purpose or in violation of these Terms;
upload another person’s information without authority to do so;
interfere with, disrupt, or attempt to gain unauthorized access to the App or its systems;
reverse engineer, decompile, or attempt to extract source code, except where such restriction is prohibited by law; or
misrepresent your identity or your credentials.

4. Continuing-education and requirement information

The App presents continuing-education requirements and related information drawn from public sources published by state boards and certifying bodies. While we work to transcribe this information carefully, we do not guarantee it is accurate, complete, or current, and requirements can change at any time. The App is not affiliated with, endorsed by, or acting on behalf of any board or certifying body. Always confirm your requirements with the issuing authority before you renew.

5. Subscriptions and payment

The App offers a free tier and a paid subscription, CredentialVault Pro. The free tier includes tracking your credentials, storing documents, forwarding documents in by email, and renewal reminders. Pro adds continuing-education and maintenance-of- certification evaluation, credentialing packet assembly and delivery, form auto-fill, privileging readiness, CV generation, CAQH monitoring, and CE Broker export. We may change what each tier includes, but we will not remove renewal reminders from the free tier.

Billing. Subscriptions purchased in the iOS app are billed through your Apple ID, not by us. Payment is charged on confirmation of purchase. Subscriptions renew automatically for the same period unless auto-renew is turned off at least 24 hours before the current period ends, and your Apple ID is charged for renewal within 24 hours of the period end. Current prices are shown in the App before you purchase.

Managing and cancelling. You can manage or cancel your subscription in your Apple ID account settings (Settings → your name → Subscriptions). Cancelling stops future renewals; you keep Pro access through the end of the period you have already paid for. Deleting the App does not cancel a subscription.

Refunds. Purchases made through the App Store are refunded by Apple under its own policies, not by us. You can request a refund at reportaproblem.apple.com. Where we are able to issue a refund directly, we will consider requests sent to support@claritasventuresllc.com.

If your subscription lapses. Your data is not deleted when a subscription ends. Pro features stop working, but your credentials and documents remain in your account, renewal reminders keep running, and you can still export or delete your own records.

6. Beta and pre-release versions

If you access the App through a beta or pre-release channel (such as Apple TestFlight), you understand it is a work in progress: it may be incomplete, may contain errors, may change or be discontinued, and is provided for testing and evaluation. Feedback you provide may be used to improve the App without obligation to you.

7. Disclaimers

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR- FREE, OR THAT ITS INFORMATION OR REMINDERS WILL BE ACCURATE OR COMPLETE. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN RECORDS AND FOR MEETING YOUR LICENSURE, CERTIFICATION, AND CONTINUING-EDUCATION OBLIGATIONS; WE ARE NOT RESPONSIBLE FOR ANY MISSED DEADLINE, LAPSED CREDENTIAL, OR OTHER CONSEQUENCE ARISING FROM YOUR RELIANCE ON THE APP.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLARITASVENTURES AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PROFESSIONAL STANDING, ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE APP WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US FOR THE APP IN THE 12 MONTHS BEFORE THE CLAIM OR U.S. $100. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

9. Indemnification

You agree to indemnify and hold harmless ClaritasVentures from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your use of the App, or your violation of these Terms or applicable law.

10. Termination

You may stop using the App and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the App. Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

11. Governing law

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the state and federal courts located there, except where applicable law provides otherwise.

12. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide additional notice where appropriate. Your continued use of the App after an update means you accept the revised Terms.
